Title: Upgrading my rig for COD4. Need help from the l33t!

I'm a little out of the loop when it comes to current pc hardware and I need some suggestions. This is my current (5yo) setup:
Abit NF7-S v2 mobo AMD Barton 3200+ 2GB DDR400 Ram 160GB SATA HD Radeon x1950 Pro 512MB
Now, I don't need anything too crazy.. My main goal is to have a setup that can play COD4 @~1280*1024 capped at ~60fps without any hiccups. Right now I can get it to play pretty smooth through some cfg tricks(shader 2.0, disabling distort, etc), but on some maps I'm still dipping under 40 fps. I'm pretty sure that at this point my CPU is a bottleneck. I'm hoping to spend <$300, so... is it worth it to try one of those hybrid AGP/PCIe mobos to upgrade my CPU and use my existing hardware, or am I better off just trying to sell what I have and going with a completely new setup?

Well for about $350 you could get this: (basically the same rig I have minus the 512mb version of the 3850, but it runs everything pefect)
